Clear and transparent collaboration

1. Definitions

In these terms and conditions the following definitions apply:

  • Rizefy: the sole proprietorship Rizefy, based in the Netherlands, KVK 93112408, hereinafter also "we" or "us".
  • Client: the natural or legal person who enters into an agreement with Rizefy, hereinafter also "you" or "client".
  • Agreement: any arrangement between Rizefy and the client for the delivery of services or products.
  • Services: web design, web development, maintenance, hosting and all other work delivered by Rizefy.

2. Applicability

These terms apply to all quotes, offers and agreements between Rizefy and the client, unless agreed otherwise in writing.

Any purchasing or other terms of the client do not apply, unless Rizefy has expressly accepted them in writing.

3. Quote and formation of the agreement

All quotes and proposals from Rizefy are without obligation and valid for 30 days from the date of issue, unless stated otherwise.

An agreement is formed as soon as the client accepts the proposal in writing (by email, WhatsApp or online approval), or as soon as Rizefy has started the work at the client's request.

4. Execution of the agreement

Rizefy will make every effort to carry out the agreed services to the best of its knowledge and ability. Stated delivery times are indicative and not strict deadlines, unless expressly agreed otherwise in writing.

The client ensures that all data, content (texts, images, logos) and access that Rizefy needs for the execution are provided on time and in full. Delay in delivery may lead to delay in completion.

5. Changes and additional work

If during execution it turns out to be necessary or desirable to change or expand the work, Rizefy will do so in consultation with the client.

Work that falls outside the original quote is charged as additional work based on the agreed hourly rate or a fixed price agreed in advance.

6. Prices and payment

All prices are in euros and exclusive of VAT, unless stated otherwise.

Fixed projects: unless agreed otherwise, Rizefy invoices 50% at the start of the project and 50% on completion.

Monthly services (maintenance, hosting, subscriptions): the first monthly term is paid in advance before the work (including design and setup) begins. After that, each month is invoiced in advance.

Payment must be made within 14 days of the invoice date, without any deduction or set-off. In case of late payment the client is in default by operation of law and Rizefy is entitled to charge the statutory (commercial) interest, as well as collection costs.

Rizefy is entitled to suspend the work for as long as the client has not met their payment obligation.

7. Intellectual property

All intellectual property rights to works developed or made available by Rizefy (including designs, code, texts and concepts) belong to Rizefy, unless agreed otherwise in writing.

After full payment of the agreed fee, the client obtains a non-exclusive right to use the delivered work for the agreed purpose.

Rizefy may use the delivered work for its own portfolio, promotion and reference purposes, unless expressly agreed otherwise in writing.

8. Hosting, domain and maintenance

When Rizefy provides hosting or domain registration, the terms of the relevant hosting provider (including Cloudflare) apply. Rizefy is not liable for outages or downtime at these external parties.

Maintenance subscriptions are entered into for an indefinite period and can be cancelled monthly with a notice period of 1 month.

9. Liability

Rizefy's liability is limited to the amount paid out in the relevant case under our professional or business liability insurance, increased by the deductible. If no payout takes place, liability is limited to a maximum of the invoice amount of the relevant assignment (excl. VAT), with a maximum of €5,000.

Rizefy is not liable for indirect damage, consequential damage, lost profit, missed savings or damage due to business interruption.

The client indemnifies Rizefy against claims from third parties regarding intellectual property rights on materials provided by the client (texts, images, logos).

10. Confidentiality

Rizefy and the client undertake to keep confidential all confidential information they receive from each other in the context of the agreement.

11. Force majeure

In case of force majeure (including outages at hosting providers, illness, internet outages), Rizefy is entitled to suspend the execution without being liable for any compensation.

12. Termination

In case of early termination of an ongoing project by the client, the work carried out up to that point is charged based on the time spent or a proportionate part of the agreed price.

13. Complaints

Complaints about delivered services must be reported to Rizefy in writing and with reasons within 14 days of delivery. In case of valid complaints, Rizefy will repair the work within a reasonable period.

14. Applicable law and disputes

Dutch law applies exclusively to all agreements between Rizefy and the client.

Disputes are preferably resolved by mutual agreement. If that does not work, disputes are submitted to the competent court in the district where Rizefy is based.

15. Changes to the terms

Rizefy is entitled to change these terms and conditions. You will always find the most recent version on this page.
